1. About Us

These Terms of Service (“Terms”) govern your access to and use of the platform and services provided by Unpublic S.R.L. (“Unpublic”, “we”, “us” or “our”), a company incorporated and existing under the laws of Italy, with registered office at Viale Monte Nero 43, 20135 Milano (MI), tax code and registration number 14605720961, REA MI-2794917, PEC unpublicsrl@pec.it.

2. Platform Description

Unpublic operates an AI-native technology platform designed to support private market participants across fundraising, investment evaluation and execution processes. The platform provides a unified environment for the structuring, management and sharing of investment information, documentation and workflows, including AI-assisted analysis, document intelligence and data processing capabilities.

3. Acceptance of Terms

By creating an account, accessing or using the platform, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you are using the platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

4. Account and Access

Access to the platform is provided on an invitation-only basis. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access or security breach.

We reserve the right to suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by applicable law.

5. Use of the Platform

5.1 Permitted Use

You may use the platform solely for your legitimate business purposes related to private market activities, including fundraising, investment analysis, due diligence, portfolio management and related workflows.

5.2 Restrictions

You agree not to:

  • use the platform for any unlawful purpose or in violation of any applicable law or regulation;
  • attempt to reverse-engineer, decompile, disassemble or otherwise derive the source code of the platform;
  • interfere with or disrupt the integrity or performance of the platform;
  • share your account credentials with third parties or allow others to access the platform through your account;
  • upload or transmit any content that is defamatory, obscene, fraudulent or otherwise objectionable;
  • use the platform to develop a competing product or service;
  • scrape, crawl or use automated means to access the platform, except through our designated APIs.

6. AI-Generated Content

The platform uses artificial intelligence technologies, including large language models provided by third-party providers (such as OpenAI and Anthropic), to generate analyses, reports, summaries and other outputs.

All AI-generated content is provided for informational purposes only and does not constitute financial, legal, tax or investment advice. AI outputs may contain errors, inaccuracies or omissions. You are solely responsible for independently verifying the accuracy, completeness and appropriateness of all AI-generated content before relying on it for any purpose, including investment decisions, due diligence conclusions or regulatory filings.

7. User Content and Data

7.1 Ownership

You retain all rights in the content, data and documents you upload to the platform (“User Content”). By uploading User Content, you grant us a limited, non-exclusive licence to process, store and display such content solely for the purpose of providing the platform services to you.

7.2 Confidentiality

We treat all User Content as confidential. We will not share your data with other users unless you explicitly authorise such sharing through the platform’s access control features (e.g. data rooms, shared opportunities). 7.3 Third-Party AI Processing

To provide AI-powered features, certain User Content may be transmitted to third-party AI providers for processing. By using these features, you acknowledge and consent to such processing. You are responsible for ensuring that your use of AI features complies with your own data handling policies and applicable regulations.

8. Intellectual Property

The platform, including its design, software, algorithms, branding and documentation, is the exclusive property of Unpublic S.R.L. or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title or interest in or to the platform other than the limited right to use it in accordance with these Terms.

9. Service Availability

The platform is provided on an “as is” and “as available” basis. While we strive to maintain high availability, we do not guarantee uninterrupted, error-free or secure access. We may modify, update or discontinue any part of the platform at any time, with or without notice.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Unpublic shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, business opportunities or goodwill, arising out of or in connection with your use of the platform;
  • Unpublic bears no responsibility for investment decisions, due diligence conclusions, or any actions taken based on information or AI-generated outputs provided through the platform;
  • our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the platform shall not exceed the fees paid by you to Unpublic in the twelve (12) months preceding the claim, or EUR 1,000, whichever is greater.

11. Indemnification

You agree to indemnify, defend and hold harmless Unpublic, its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

12. Modifications

We may update these Terms from time to time. Material changes will be communicated via the platform or by email. Your continued use of the platform after such notice constitutes your acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Italy. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
